Job Description:
SourcePro Search is conducting a search for an Assistant General
Counsel with a minimum of 3 years of experience in
contracts/negotiation and dispute resolution to assist and report
to the General Counsel. This is a hybrid position. You'll need to
be in the NYC office on Tuesdays, Wednesdays, and Thursdays. The
regular hours are either 9 am to 5 pm or 10 am to 6 pm. What You'll
Do: The AGC will work on firm contracts including negotiating
liability insurance, medical insurance renewal, vendor contracts,
keep track of client retainers, and perform compliance function
with regard to screening firm conflicts under the supervision of
the General Counsel and Compliance Officer. Responsibilities
include: • Drafting new contracts • Reviewing contracts before the
parties sign • Evaluating signed contracts in the case of a dispute
• Assisting with cases involving a breach of contract What You'll
Bring: • You will have worked for a law firm, insurance company
negotiating and reviewing agreements, or in-house at a company
assisting in the litigation, contracts or compliance process, and
have an understanding of litigation process. • Ability to negotiate
with multiple parties in complex negotiations involving millions of
dollars. • Understanding of various contract provisions such as
choice of law, fee splitting, and consideration. • Understanding of
the Ethical Rules and ability to apply them. • Liaison with outside
ethics counsel on issues of complexity or judgement calls • Ability
and interest in developing an understanding of conflict of law
provisions to determine whether we can pursue certain litigation or
need ethical walls in place. • Support the GC in active
litigations. • Attention to detail, ability to work independently,
ability to troubleshoot and issue spot, ability to use common sense
and business sense. • Ability to manage deadlines and work in
